I started up my own LLC (Limited Liability Company) a few years ago out of college (actually kept me afloat working on it for 1.5 years). Reason I did that was I was told that even if you dont make money you don't have to pay taxes. Registering the company wasn't a big deal and wasn't much $$$ at all. In fact I went through a site that did everything online for around $200 or so. Gives you the official documents all in a binder and makes it easier.
I could be wrong but I think an LLC now has an annual fee associated with it, even if your company is profitable or not. May want to find out as I want to open up another company for something else now.

They can actually set up everything for you or of course you can always file the papers yourself if you go that route.
My place of business was in Maryland though. Delaware tempted me but I have no residence there.
